Job responsibilities:
Our client is seeking an Admin Manager to oversee the full spectrum of corporate administration functions for Singapore Holdings entity during the SGX listing preparation phase. This role will play a key part in supporting the IPO process from both operational and governance perspectives through responsibilities such as SGX listing compliance, Board of Directors secretariat management, disclosure support, and compliance administration. The successful candidate will work closely with relevant departments of the Japan entity to ensure smooth coordination and execution throughout the listing preparation process.
Responsibilities:
1. SGX Listing Preparation
・Support the preparation of listing-related documents (prospectus, disclosure materials, etc.)
・Coordinate with lead securities company, audit firm, and legal counsel
・Provide practical support in establishing corporate governance frameworks
・Assist in internal control measures to meet SGX requirements
・Prepare systems for ongoing disclosure obligations post-listing
2. Board of Directors & Shareholders’ Meeting Administration
・Prepare and distribute notices of meetings, agendas, and supporting materials for the Board and committees
・Draft and maintain minutes (in both English and Japanese)
・Manage shareholders’ meetings and related documentation
3. Compliance & Corporate Secretarial Duties
・Develop and update Articles of Association, internal regulations, and corporate policies
・Monitor compliance with relevant laws and regulations (Companies Act, SGX Listing Rules, etc.)
・Oversee entity management for subsidiaries and affiliated companies
4. Coordination with Japan Headquarters and Overseas Group Companies
・Liaise with The Japan departments (Corporate Planning, Legal, Finance, HR/General Affairs, Overseas Business) on minutes and reporting matters
・Implement group-wide compliance policies within the Singapore entity and cascade to other overseas offices
Requirements:
・Minimum 5 years of practical experience in Corporate Administration or Company Secretary functions
・Business level of Japanese language skills of handling meeting minutes, interpretation, and communication with Japan stakeholder and clients (JLPT N2 or above preferred)
・Able to proactively and flexibly respond to the dynamic phase of SGX listing preparations
・Understands both Singapore and Japan corporate cultures and can act as a bridge between the two entities.
・Possesses strong integrity and the ability to handle confidential information appropriately.
・Demonstrates meticulous attention to detail while maintaining the ability to prioritize and drive tasks forward effectively.
