Duties:

• Ensure compliance with corporate secretarial, corporate governance, statutory and regulatory requirements under the Companies Act, and the Charities Act.
• Lead and coordinate the organisation and preparation of papers and agenda for board and board committee meetings.
• Maintain board and committee succession plans, and manage director appointments, including orientation, development, and securing necessary company and Public Services Division approvals.
• Maintain and manage succession plans for the boards of all Group entities, in coordination with the Group entities corporate secretarial departments, and company– including ex-officio appointments.
• Performing ACRA filings, and updating the company secretarial folders, ensuring accurate and timely updating of applicable database information, eg: director’s particulars, director’s attendance, team calendars and maintaining updated statutory records.
• Advise and assist the members of the Board, Committees, and subsidiaries as regards their duties and responsibilities as directors, compliance with their obligations under the Companies Act and issues on corporate governance.
• Any other duties as assigned.

Period: 3 months contract

Location: Buona Vista

Working Hours: 8.30am to 6pm, Monday to Friday

Salary: flexible, based on work experience

Job Requirements:

• Minimum Bachelor of Laws (LLB) or Juris Doctor (JD).
• Preferably qualified to practise law in Singapore and admitted to the Singapore Bar; candidates qualified in other common-law jurisdictions may also be considered depending on the work scope.
• 10+ years of post-qualification legal experience (PQE) in:In-house/corporate legal functions; and/orPrivate practice/litigation.
• Strong knowledge of commercial and corporate law, contracts, regulatory matters and legal risk management.
• For litigation-heavy requirements, experience in dispute resolution, court proceedings, arbitration and managing external counsel would be advantageous.
